At first sight, this is even worse than what I understood you to be saying,
i.e., that Naremco - in not turning over title to the UN - would use UN
deliverables/property for its future work.
Now I understand Naremco to be saying that we can't disseminate our own
deliverables beyond the confines of the UN.
I'm going to send this e-mail to my co-chair (of the Working Group on
Archives and Records Management), for his input.

I received your fax of the contract ICA 992 this morning. There is a
serious
problem with Section 3(a) of the Conditions of Service-Contractors.
We cannot transfer title to the United Nations, since that would prevent
us from continuing our work. We are prepared to sign an agreement that
contains the following:
"Naremco grants a non-exclusive license to the United Nations to use
methodology, instruction and procedure manuals, and other documentary
materials prepared and delivered as part of contract ICA 992 solely for
the benefit of the United Nations or its affiliated corporations. It is
understood that these materials are copyright by Naremco and based upon
methods or information previously developed by Naremco. These materials
do not include data or recommendations specific to The United Nations
resulting from the conduct of Contract ICA 992."
"The United Nations agrees not to distribute or to sell the materials
outside the United Nations. Naremco retains the right to use previously
developed materials to create other instruction and procedure manuals, or
documentary materials in future consulting projects, but shall be bound
by stipulations with respect to confidential United Nations information."
I trust you will understand that Naremco desire to remain in business with
secure ownership of its tools of trade.
